Because of our unique experience advising ATF, TTB, and State Department-regulated clients, we are often engaged as special counsel or deal counsel on mergers and acquisitions and other transactions (including strategic re-organizations).   We routinely work with deal counsel (including major Wall Street and AMLAW100 law firms), adding specialized knowledge to their broader team of tax, employment, intellectual property, and other attorneys.   DIGC has worked on deals ranging in size from multi-billion dollar transactions to seven-figure transactions, including bankruptcy-related matters.  Our clients include buyers, sellers, private equity funds, investors, lenders, and operating companies that want to restructure for various reasons. DIGC works with clients on:

Pre-Market Strategy – Identify and address internal issues prior to potential deals, maximizing value and minimizing mid-deal risk.

Strategic Planning/Consulting – Design transactions that ensure compliance and mitigate risk.

Diligence – Conduct proper diligence and to identify and mitigate compliance-related risk.

Negotiation – Negotiate with buyers or sellers, including regarding mid-deal issues discovered during diligence.  

Drafting – Draft documents, including representations and warranties, conditions, and post-closing obligations.

Post-Closing – Address certain compliance obligations post-closing, including notice obligations, adding/removing “responsible persons”, amendments, etc.

Strategic Re-Organization – Restructures or spin-offs to mitigate business or legal risk and for other business-related reasons.
